1. Acceptance of Terms

These Terms of Service govern access to and use of the Social Seconds website, application, member portal, application process, identity verification process, membership program, event request process, event-night platform, communication tools, At First Light introduction process, Signature Experiences Concierge, Experiences & Partnerships, member cards, and related services.

By creating an account, submitting an application, requesting event attendance, purchasing a membership, completing identity verification, paying for an event, attending an event, using communication tools, receiving an introduction, or otherwise using Social Seconds, you agree to these Terms and the additional policies referenced in them.

If you do not agree, you must not use Social Seconds or attend Social Seconds events.

2. Definitions

  • “Social Seconds,” “we,” “us,” or “our” means Social Seconds Group Inc.
  • “Services” means the Social Seconds website, application, member portal, event-night platform, memberships, events, introductions, communications, partner features, and related services.
  • “Participant,” “member,” “applicant,” “user,” “you,” or “your” means an individual who applies for, registers for, purchases, attends, or uses any part of the Services.
  • “Event” means a hosted Social Seconds in-person gathering, speed-meeting event, round-table experience, member gathering, partner experience, workshop, or other event offered by Social Seconds.
  • “Membership” means a paid or complimentary membership tier, subscription, or member status offered by Social Seconds.
  • “Curator” means a Social Seconds team member, host, moderator, facilitator, or authorized representative involved in reviewing applications, operating events, supporting participants, or making discretionary decisions.
  • “At First Light,” “introduction,” or “match” means a Social Seconds-facilitated post-event or platform-mediated connection, invitation, or introduction opportunity.
  • “Payment processor” means Square or another authorized third-party payment processor selected by Social Seconds.
  • “Identity verification provider” means Didit or another third-party provider selected by Social Seconds for identity verification, government ID review, liveness detection, facial comparison, biometric processing, and fraud prevention.

3. Eligibility

  • You must be at least 25 years old to apply for Social Seconds, create an account, purchase a membership, request attendance at an event, attend a Social Seconds event, receive an introduction, use member-only services, or participate in Social Seconds programs. Social Seconds may design specific events or cohorts with additional age ranges or eligibility criteria. Meeting the minimum age requirement does not guarantee application acceptance, membership approval, event selection, event attendance, or an introduction.
  • You must provide accurate, current, and complete information during application, account creation, identity verification, payment, membership use, event requests, and event participation.
  • You must be truthful about relationship status, eligibility, age, identity, contact information, and any event-specific requirements.
  • You must not create an account, apply, purchase, request an event, or attend an event if Social Seconds has suspended, banned, restricted, or refused you, or if you are using false information.
  • You are responsible for maintaining the confidentiality of your account credentials and for activity under your account.
  • You may not transfer your account, membership, event seat, invitation, check-in pass, member card, NFC credential, partner perk, or introduction opportunity without written permission from Social Seconds.
  • Event-specific eligibility may include age range, event format, geographic focus, relationship-status requirements, cohort design, identity verification status, payment status, safety considerations, availability, and room-composition requirements.

4. Nature of the Services

Social Seconds provides curated, structured social events and introduction experiences. The Services may include application review, membership access, event requests, curator review, identity verification, event-night check-in, structured rotations, round-table assignments, private preference collection, algorithmic or decision-support analysis, member chat, partner experiences, and At First Light introductions.

Social Seconds is not a dating guarantee, relationship guarantee, therapy service, safety certification service, criminal background-check service, emergency service, consumer reporting agency, or personal-security service.

Social Seconds does not guarantee application acceptance, membership approval, event selection, event attendance, compatibility, attraction, chemistry, mutual interest, a match, an introduction, a response, a date, relationship outcome, friendship outcome, emotional satisfaction, personal safety beyond reasonable operational precautions, or continued access to any person, event, feature, partner benefit, or service.

5. Application, Review, and Admission

Submitting an application, joining a waitlist, creating an account, purchasing a membership, or requesting attendance at an event does not guarantee acceptance, membership approval, event attendance, a match, an introduction, or continued access to Social Seconds.

Social Seconds may review applications and event requests using human review, internal criteria, event design parameters, safety considerations, eligibility requirements, identity verification status, payment status, capacity, demographic and room-composition balance, participation history, compatibility signals, and operational constraints.

Social Seconds may accept, decline, hold, waitlist, pause, request additional information, or remove an application or event request at its discretion, subject to applicable law.

Social Seconds may design events for particular cohorts, age ranges, interests, formats, or participant-alignment goals. Event descriptions may describe the event as designed for a particular format or cohort.

Social Seconds is not required to disclose internal scoring, ranking, matching criteria, event-composition logic, curator notes, safety notes, proprietary decision rules, or algorithmic methods.

6. Identity Verification

Identity verification is required before event participation and may also be required for certain other Services. Social Seconds may require identity verification through Didit or another selected identity verification provider.

Identity verification may include a valid government-issued photo ID, live selfie capture, liveness detection, facial comparison or biometric matching, document authenticity checks, fraud checks, validation of name and date of birth, and related verification processes.

Failure to complete identity verification by the required deadline, suspected fraud, inconsistent information, expired or stale verification, or inability to satisfactorily verify identity may result in denial of event participation, loss of event eligibility, suspension, termination, or a requirement to re-verify before future participation.

Identity verification is not a criminal background check, safety certification, endorsement, guarantee of relationship status, guarantee of honesty, guarantee of conduct, or confirmation that a participant is safe to meet outside the Services.

7. Event Requests, Selection, and Payment

Requesting attendance at an event does not reserve a seat and does not guarantee selection.

If selected for a paid event, your seat is not confirmed until payment is successfully completed by the stated deadline. If payment is not completed by the stated deadline, Social Seconds may release the seat, expire the opportunity, offer the seat to another eligible participant, or take other operational action.

A confirmed event registration is personal, limited, curated, and non-transferable. Social Seconds may refuse check-in or remove a participant for identity verification concerns, late arrival, impairment, disruptive conduct, venue-rule violations, failure to follow staff instructions, payment issues, safety concerns, or operational concerns.

8. Event-Night Format

Social Seconds events are structured and facilitator-led. Event format may include check-in, door verification, speed-meeting rounds, waiting or reserve states, table assignments, round-table sessions, private preference submission, final preference submission, timed transitions, curator support, event conclusion, and post-event introduction processing.

  • You must follow instructions from hosts, curators, staff, security, venue personnel, and authorized representatives.
  • You must not record, photograph, film, livestream, post, or distribute another participant’s personal information, image, conversation, voting choice, name tag, event code, chat message, or contact information without consent.
  • You must submit event-night preferences honestly and confidentially. You must not pressure, coerce, surveil, or ask another participant to reveal private votes, rankings, preferences, or match decisions.
  • Social Seconds may modify, pause, restructure, or end an event format in real time for safety, timing, venue, operational, or participant-experience reasons.

9. At First Light and Introductions

At First Light introductions are confidential, discretionary, and not guaranteed. Social Seconds may consider participant preferences, event participation data, algorithmic or decision-support analysis, curator review, availability, safety considerations, participation history, policy compliance, capacity constraints, and operational factors when determining whether and how introductions are released.

A participant may receive no At First Light introduction or one At First Light introduction for a given event cycle. No participant has a right to receive a match, introduction, reassignment, or explanation regarding any matching decision.

Introduction invitations may expire after 48 hours or another period communicated by Social Seconds. Failure to engage with an introduction invitation may affect future participation opportunities, event eligibility, or introduction priority.

If an introduction cannot proceed because of non-engagement, withdrawal, ineligibility, safety concerns, policy concerns, or operational circumstances, Social Seconds may offer an alternative introduction opportunity, future priority consideration, or no alternative opportunity at all. No reassignment is guaranteed.

Social Seconds may withhold, delay, cancel, modify, or revoke any introduction for safety, policy, identity-verification, payment, event-integrity, legal, or operational reasons.

10. Memberships, Billing, and Payments

Social Seconds may offer paid membership tiers including ESSENCE, ELITE+, and FOUNDING ELITE. Membership purchases, renewals, cancellations, upgrades, downgrades, Founding Elite availability, and related billing rules are governed by the Membership & Billing Terms.

Payments are processed by Square or another authorized payment processor selected by Social Seconds. Social Seconds does not store full credit card numbers in its own systems. Prices may be listed before applicable taxes unless expressly stated otherwise. HST or other applicable taxes may be charged where required.

You authorize Social Seconds and its payment processor to charge your selected payment method for event payments, membership fees, renewals, upgrades, add-ons, replacement cards, and other purchases you authorize.

Payment failures, chargebacks, reversals, or suspected payment fraud may result in suspension, termination, loss of event eligibility, cancellation of pending requests, withholding of introductions, or collection of amounts owed, subject to applicable law.

11. Third-Party Venues, Vendors, Partners, and Experiences

Social Seconds may work with venues, vendors, photographers, makeup artists, restaurants, activity providers, partners, sponsors, contractors, and other third-party providers. Unless expressly stated otherwise, these third parties are independent and are not owned, operated, supervised, or controlled by Social Seconds.

Third-party goods, services, experiences, discounts, offers, reservations, bookings, or benefits are subject to the third party’s own terms, policies, practices, limitations, availability, and legal obligations. Social Seconds does not control or guarantee third-party availability, pricing, service quality, operations, fulfilment, safety, accommodations, cancellation decisions, or participant satisfaction.

12. Media

Events may include photography, video, audio, venue footage, atmosphere footage, or other media. Media use and participant media preferences are governed by the Media Policy.

Social Seconds will make reasonable efforts to accommodate no-media preferences, but no-media treatment does not guarantee anonymity or guarantee that a participant will never appear incidentally in background, crowd, venue, reflection, or atmosphere footage.

13. Code of Conduct and Safety Rules

You agree to comply with the Code of Conduct, Safety & Participation Policy, Event Terms & Refund Policy, venue rules, and all event, platform, and community standards. Violations may result in warning, removal, suspension, termination, ban, withholding of introductions, cancellation of event registration, loss of membership benefits, loss of future eligibility, and/or referral to law enforcement where appropriate.

14. Complaints, Reports, and Moderation

Reports, complaints, safety concerns, privacy complaints, suspected policy violations, payment disputes, and identity concerns are handled under the Complaint, Incident Report and Moderation Process. Social Seconds may take temporary or final action where reasonably necessary to protect participants, staff, event integrity, the community, or the Services.

To protect privacy, safety, and process integrity, Social Seconds may limit disclosure of complaint details, investigation methods, evidence, reporting sources, internal deliberations, and enforcement reasoning, subject to applicable law.

15. Accessibility and Accommodation

Participants should contact Social Seconds in advance regarding accessibility needs, medical considerations, or reasonable accommodation requests. Social Seconds will make reasonable efforts to accommodate requests where practicable, subject to venue, safety, event format, partner limitations, and operational constraints.

16. Alcohol, Beverages, and Venue Rules

Unless Social Seconds states otherwise for a specific event, Social Seconds event nights are designed as alcohol-free experiences. Some third-party, sponsored, venue, or partner experiences may make alcohol available under their own rules and legal obligations. Social Seconds does not encourage overconsumption and may refuse entry, remove a participant, or restrict future participation if a participant appears impaired, disruptive, unsafe, or unable to participate respectfully.

17. Force Majeure

Social Seconds will not be liable for delay, interruption, modification, suspension, cancellation, or failure to perform arising from causes beyond its reasonable control, including severe weather, fire, flood, public-health emergency, government action, labour dispute, transportation disruption, power outage, telecommunications or internet failure, venue closure, supplier failure, civil unrest, security threat, or other unforeseen circumstances.

In such circumstances, Social Seconds may cancel, postpone, reschedule, relocate, modify, or suspend an event, membership benefit, feature, introduction process, or service offering without liability, subject to applicable law. Where reasonably practicable, Social Seconds may provide notice and may offer a future event credit, rescheduled event opportunity, refund, or alternative accommodation at its discretion or where required by law.

18. Intellectual Property and Platform Restrictions

Social Seconds owns or licenses the Social Seconds name, logos, trademarks, taglines, software, databases, event formats, event architecture, room-composition methodologies, matching methodologies, event-flow systems, algorithms, business methods, documentation, media, marketing assets, and other proprietary materials.

  • You may not copy, scrape, reverse engineer, reproduce, sell, exploit, interfere with, or misuse the Services, event format, software, algorithms, data, media, or brand assets.
  • You may not use the Services for commercial solicitation, recruiting, market research, scraping, competitive analysis, spam, fraud, or unauthorized data collection.
  • You grant Social Seconds a limited license to use profile information, photos, preferences, messages, feedback, and content you submit as necessary to operate, improve, moderate, secure, and provide the Services, subject to the Privacy Policy.

19. Communications and CASL

Social Seconds may send operational, transactional, account, event, identity verification, payment, safety, policy, and service-related messages. These messages may be necessary to provide the Services and may not include an unsubscribe option where permitted by law.

Social Seconds may send marketing, promotional, partner, event, membership, and newsletter communications only with consent or where otherwise permitted by law. Commercial electronic messages will identify the sender and include an unsubscribe mechanism where required.

20. Disclaimers

The Services are provided on an “as is” and “as available” basis to the fullest extent permitted by law. Social Seconds does not guarantee uninterrupted access, error-free operation, event availability, attendance by any person, compatibility with any person, romantic outcomes, friendship outcomes, emotional satisfaction, or safety beyond reasonable operational precautions.

You are responsible for your own decisions, communications, transportation, consumption of food or beverages, post-event interactions, meetings outside the Services, and conduct inside and outside Social Seconds.

Participation in social introduction events involves inherent risks. By using the Services or attending events, you acknowledge and voluntarily assume those risks to the fullest extent permitted by law.

21. Limitation of Liability

To the fullest extent permitted by law, Social Seconds and its directors, officers, employees, contractors, curators, hosts, affiliates, venues, suppliers, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, emotional, reputational, economic, or punitive damages arising from or related to the Services, events, matches, non-matches, rejection, participant conduct, post-event interactions, chat communications, third-party services, venue conditions, or loss of data.

To the fullest extent permitted by law, Social Seconds’ total liability for claims arising from an event will be limited to the amount paid by you for that event, and Social Seconds’ total liability for membership-related claims will be limited to the amount paid by you to Social Seconds during the twelve months before the claim arose.

Nothing in these Terms excludes liability that cannot be excluded under applicable law, including liability for gross negligence, intentional misconduct, or other liability that cannot legally be waived.

22. Indemnification

You agree to indemnify, defend, and hold harmless Social Seconds and its directors, officers, employees, contractors, curators, hosts, affiliates, venues, suppliers, and service providers from and against claims, losses, damages, liabilities, costs, and expenses arising from or related to your conduct, content, communications, event attendance, post-event interactions, breach of these Terms, violation of law, misuse of the Services, violation of another person’s rights, or dispute with another participant.

23. Suspension, Termination, and Re-Entry

Social Seconds may suspend, restrict, terminate, or refuse your account, membership, event request, event attendance, match release, chat access, partner benefit access, member card, future eligibility, or re-entry at its discretion, subject to applicable law.

Reasons may include violation of the Code of Conduct, harassment, discrimination, safety concerns, identity verification failure, payment failure, chargebacks, fraud, repeated non-participation, repeated missed deadlines, no-shows, late cancellations, misuse of chat, unauthorized recording, privacy violations, venue misconduct, partner-perk abuse, or conduct that undermines the integrity of the community.

Termination may occur without refund where permitted by law, especially where termination results from misconduct, fraud, safety concerns, or policy violation. Re-entry is at Social Seconds’ discretion and may require re-application, identity re-verification, additional review, or written conditions.

24. Changes to Services, Terms, and Pricing

Social Seconds may modify, pause, discontinue, rename, restructure, or replace features, membership benefits, event formats, pricing, perks, partner offers, eligibility rules, or policies from time to time, subject to applicable law and any notice required.

Material changes to recurring membership pricing, renewal terms, cancellation rights, or core consumer terms will be handled in accordance with applicable law. If you do not agree to a material change, your remedy may be to cancel before the change takes effect unless a different remedy is required by law.

25. Governing Law and Disputes

These Terms, the Services, memberships, event registrations, introductions, communications, purchases, and any dispute, claim, or controversy arising from or relating to Social Seconds are governed by the laws of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

Subject to applicable law and any rights that cannot be waived, disputes shall be brought exclusively before the courts located in Ontario, Canada, and you attorn to the jurisdiction of those courts.

Nothing in these Terms limits, waives, or excludes consumer protection rights, privacy rights, statutory rights, or other rights that cannot be waived or restricted under applicable law.
