Membership and Billing Terms

1. Scope

These Membership & Billing Terms apply to Social Seconds memberships, membership purchases, renewals, cancellations, upgrades, downgrades, Founding Elite availability, billing, taxes, payment processing, and related membership benefits.

These terms form part of Social Seconds’ public policy set and should be read together with the Terms of Service and any other posted policies, feature-specific terms, or event-specific terms that apply.

2. Membership Tiers

Social Seconds may offer membership tiers including ESSENCE, ELITE+, and FOUNDING ELITE. Membership tiers, pricing, billing intervals, benefits, eligibility, and availability are described on the Social Seconds website, member portal, checkout page, or other official Social Seconds communications.

Membership benefits may vary by tier and may change over time, subject to applicable law and any notice required.

A membership does not guarantee application acceptance, event selection, attendance at a specific event, a match, an introduction, compatibility, relationship outcome, partner benefit, specific experience, or continued access to any particular feature.

3. Membership Start Date

A membership begins only after successful payment has been completed and processed through Social Seconds’ payment processor.

Starting a checkout flow, clicking an upgrade or membership button, submitting a form, or receiving a checkout link does not activate a membership unless payment is successfully completed and Social Seconds’ systems confirm the membership.

4. Billing, Taxes, and Payment Processor

Memberships may be offered on a monthly or annual billing basis. Prices may be listed before applicable taxes unless expressly stated otherwise. HST and other applicable taxes may be charged where required.

Membership payments, renewals, upgrades, refunds, invoices, and related payment activity are processed by Square or another authorized payment processor selected by Social Seconds. Social Seconds does not store full credit card numbers in its own systems.

By purchasing a membership, you authorize Social Seconds and its payment processor to charge your selected payment method for the membership, renewals, upgrades, applicable taxes, and other purchases you authorize.

5. Automatic Renewal

Unless cancelled before renewal, memberships automatically renew at the end of each billing period using the payment method on file. Monthly memberships renew monthly. Annual memberships renew annually.

Receipts, renewal notices, account notices, cancellation confirmations, payment-failure notices, and other membership communications may be delivered electronically.

6. Payment Failure

If a membership payment or renewal payment fails, Social Seconds may retry the payment, request updated payment information, suspend access, pause benefits, restrict event eligibility, cancel a pending event request, cancel or suspend membership, or take other reasonable action, subject to applicable law.

Membership access and benefits may not continue if payment is not successfully completed.

7. Membership Cancellation

Members may cancel membership through the Social Seconds member portal or by contacting Social Seconds at support@socialseconds.ca.

Cancellation stops future renewal. Unless required by law or expressly approved by Social Seconds in writing, cancellation does not create a refund for the current paid period.

After cancellation, the membership generally remains active until the end of the current paid billing period. Access, benefits, event eligibility, partner perks, Signature Experiences Concierge eligibility, member card privileges, and tier-specific benefits may end or be reduced after the paid period expires.

A payment processor may make a subscription self-management link available. The preferred and official cancellation methods are the Social Seconds member portal or written support request to support@socialseconds.ca. If a cancellation is completed through a payment processor self-management link and successfully processed by the payment processor, Social Seconds may honour that cancellation; however, members remain responsible for confirming that cancellation is reflected in the Social Seconds member portal or by contacting support@socialseconds.ca.

Square or another payment processor may continue to display a subscription as active until the effective end-of-term cancellation date. This is expected where cancellation stops future renewal but allows access through the paid-through date.

8. No Current-Term Refund for Cancellation

Cancelling membership does not entitle the member to a partial refund, prorated refund, or current-term refund for the paid billing period unless required by law or expressly approved by Social Seconds in writing. This applies to both monthly and annual memberships.

9. Upgrades

A membership upgrade is effective only after successful upgrade payment has been completed and processed through Social Seconds’ payment processor.

Clicking an upgrade button, viewing upgrade terms, or starting checkout does not upgrade the membership unless payment is successfully completed and Social Seconds confirms the upgrade.

When an upgrade is completed, the new membership tier and billing period begin on the upgrade date unless Social Seconds expressly states otherwise in writing.

For monthly-to-higher-monthly upgrades, monthly-to-higher-annual upgrades, or other upgrade paths that are not annual-to-higher-annual upgrades, Social Seconds does not currently provide an unused-term credit, prorated refund, or automatic refund for the prior paid period unless required by law or expressly approved by Social Seconds in writing.

Same-tier billing changes are not automatically treated as upgrades unless Social Seconds expressly identifies them as an upgrade flow. Annual-to-monthly upgrade paths may not be available unless expressly supported by Social Seconds.

10. Annual-to-Higher-Annual Upgrade Credit

For annual-to-higher-annual upgrades, including ESSENCE annual to ELITE+ annual, ESSENCE annual to FOUNDING ELITE annual, and ELITE+ annual to FOUNDING ELITE annual, the following credit process applies unless Social Seconds states otherwise in writing.

  • The member pays the full new higher annual membership price through Social Seconds’ payment processor.
  • The new higher annual membership begins on the upgrade date and runs for one year from that date.
  • After successful upgrade payment, Social Seconds calculates the unused paid value of the member’s current lower annual membership using whole remaining months.
  • The month in which the upgrade occurs is treated as used. Credit begins with the first full month after the upgrade month.
  • The credit is calculated as: old annual total paid, including applicable tax, multiplied by remaining full months, divided by 12.
  • The credit is rounded to the nearest cent.
  • The credit is issued as a separate refund to the card or payment method used for the current lower annual membership. It is not refunded to the card used for the new upgrade payment unless Social Seconds expressly determines otherwise or the payment processor requires otherwise.
  • Refund timing may depend on Social Seconds’ review, payment processor rules, card-network rules, banking timelines, fraud checks, and technical processing. Social Seconds does not guarantee an instant refund.

Example: if a member began an annual term in January and upgrades on any day in March, January, February, and March are treated as used. April through December are treated as 9 full remaining months. The credit equals the old annual amount paid, including applicable tax, multiplied by 9, divided by 12.

11. Downgrades

Downgrades are scheduled to take effect at the end of the current paid billing period unless Social Seconds expressly approves a different timing in writing. A downgrade does not take effect immediately.

The current membership tier remains active until the current paid period ends. The lower membership tier and selected billing interval begin at the next renewal or current-period end.

Downgrading does not entitle the member to a partial refund, prorated refund, or current-term refund unless required by law or expressly approved by Social Seconds in writing. Benefits tied only to the current higher tier end when the new lower tier begins.

Social Seconds may require the member to confirm downgrade terms before scheduling a downgrade, including the effective date, new tier, new billing interval, benefits being lost, and any Founding Elite consequences.

12. Founding Elite Limited Availability

FOUNDING ELITE is a limited founding chapter membership tier. Unless Social Seconds extends or changes the offer in writing, Founding Elite is available for new entry only during the founding window from June 15, 2026 to December 15, 2026, Toronto time.

After the founding window closes, Founding Elite may no longer be publicly available to new buyers. A Founding Elite member who cancels, downgrades, fails to renew, becomes ineligible, or is terminated may permanently lose Founding Elite status and may not be able to reclaim it later.

Before a downgrade from Founding Elite becomes effective, Social Seconds may require confirmation that the member understands the possible permanent loss of Founding Elite status and associated benefits.

13. Pricing and Benefit Changes

Social Seconds may update membership pricing, benefits, eligibility rules, partner perks, member tools, event priority features, Signature Experiences Concierge access, member card privileges, and other membership features from time to time, subject to applicable law and any required notice.

Material changes to recurring membership pricing, renewal terms, cancellation rights, or core consumer terms will be handled in accordance with applicable law.

14. Termination for Misconduct or Policy Violation

Social Seconds may suspend, restrict, terminate, or refuse membership access where permitted by law, including for safety concerns, dishonesty, harassment, discrimination, fraud, payment failure, chargebacks, identity verification concerns, no-shows, repeated missed deadlines, privacy violations, partner-perk abuse, or breach of Social Seconds policies.

Termination for misconduct, fraud, safety concerns, or policy violation may occur without refund where permitted by law.
